- Board, signatory, address, name, purpose and capital changes: filed without delay, no day count in the law
- 14 days only after an Office of Justice call-up
- AG and GmbH statute and capital changes need a public deed
- Filed by a licensed Liechtenstein trustee

How a Liechtenstein company is amended at the register
Company amendments in Liechtenstein start with one rule: a change to any fact entered in the commercial register is filed without delay (PGR Art. 965(1)), and the law sets no day count. We help directors, owners and advisers of an AG, GmbH or Anstalt get each change onto the right path.
We prepare the drafts, collect the documents and coordinate the steps. You resolve and sign. A licensed Liechtenstein trustee, named in your engagement letter, files; an Urkundsperson makes any public deed. If the change touches the Repräsentant or the business address, see a registered office address in Vaduz with a local representative.

LFF Heritage Trusts prepares and coordinates; it does not file, make deeds or hold a board seat.
What's included

Board member or managing director
A change in or out of the board. The qualified seat under PGR Art. 180a goes only to a holder of a Trustee Act licence or a licence treated as equal.
Signatory and firm signature
A new signatory or a changed capacity of representation; the new signatory gives a certified signature (HRV Art. 34(1)).
Address and seat within Liechtenstein
A new business address with the seat unchanged, or a seat move inside the country (PGR Art. 113(4)).
Name, purpose and other statute amendments
An AG or GmbH records a statute amendment resolution as a public deed; for an Anstalt a certified declaration signed by all participants may replace the deed (PGR Art. 177(1), (6)).
Capital increase and decrease
The auditor, the Urkundsperson and the licensed trustee each do their own step; we keep the documents in line.
Repräsentant or delivery address
A new representative towards the authorities or a new delivery address, filed by the licensed trustee (PGR Art. 239).
GmbH share transfer
A transfer of GmbH shares needs a public deed (PGR Art. 403(4)). The Office of Justice draws up only the deeds the law requires. Buying a company outright? See the ready-made companies page.
UBO follow-up
A change can alter the beneficial-owner data. The entity reports it; we list the follow-up for you.
Who it is for
A board, signatory or address changes
An AG, GmbH or Anstalt whose director, signatory or business address is changing.
The articles change
An owner changing the articles, the name, the purpose or the capital.
Shares change hands
A buyer or seller of GmbH shares whose change of owners leads to other amendments.
Where this service stops
A merger or conversion is a separate engagement: how a merger between two Liechtenstein companies is prepared and filed. Closing the company follows its own path: winding up a Liechtenstein company. A seat move abroad needs an Office of Justice permit first (PGR Art. 234(1)). LFT does not file, make deeds or hold a board seat.

Problems we solve
Which clock applies?
The filing is due without delay, with no day count (PGR Art. 965(1)). 14 days run only after an Office of Justice call-up; if neither a filing nor an objection follows, the Office enters the change itself and fines the defaulting party at the same time (Art. 968(2) with 967(4)). The 30-day clock is the beneficial-owner report only.
A capital reduction takes long
Payments to shareholders follow only after the creditor period and once registered creditors are satisfied or secured (PGR Art. 355(5)). The law fixes no total time, and we promise none.
The qualified board member or Repräsentant is leaving
A replacement qualified board member with a licence must be in place (PGR Art. 180a); a Repräsentant must be re-appointed (Art. 239). The departing person can file their own removal (HRV Art. 33(3)). Offering trustee activities without a licence is fined by the FMA (TrHG Art. 81).
Signing from abroad
The persons obliged sign personally and cannot be represented unless a law allows it (PGR Art. 964(3), (4)). Certified signatures serve a written filing; the licensed trustee prepares and submits it.
My documents are not in German
Entries are made in German; supporting documents may be in another language, with a certified translation only if the Office of Justice asks (HRV Art. 4). The file behind an entry is open to anyone with a credible legitimate interest (Art. 18(1)).
Want the filing path set out for your change?
Send us the change and the company. We map the deed, the signatures and the clock.
Why work with us
From our practice
We collect the register extract, the articles and the identification documents and prepare the resolution drafts; you resolve and sign; the licensed Liechtenstein trustee named in your engagement letter files; an Urkundsperson makes any public deed. Dominik Heeb keeps the file together from intake to the follow-ups.

Frequently asked questions
Do I have to use a licensed trustee to change a director of my Liechtenstein company?
For the qualified seat, yes. At least one board member must hold a Trustee Act licence or a licence treated as equal (PGR Art. 180a(1), (2)), and board mandates for third parties are a trustee activity (TrHG Art. 2(b)). Some entities are exempt (Art. 180a(3)). LFT prepares the resolution; the licensed trustee files.
Can LFT file the change for me?
No. Filing for third parties is a trustee activity (TrHG Art. 2). LFT prepares the resolution drafts, collects the documents and coordinates the steps; the licensed Liechtenstein trustee named in your engagement letter files, and an Urkundsperson makes any public deed. LFT does not file, make deeds or hold a board seat.
Can someone sign the filing for me if I live abroad?
As a rule, no. The persons obliged to file sign the filing letter personally and cannot be represented by another person or a third party unless a law or ordinance says otherwise (PGR Art. 964(3), (4)). A written filing needs certified signatures (HRV Art. 31(2)). The licensed trustee prepares and submits; the signatures stay with you.
How quickly must a change be filed at the commercial register?
Without delay (PGR Art. 965(1)); the law gives no day count for the first filing. A period of 14 days runs only after the Office of Justice calls on you to file (Art. 968(1)). The one fixed 30-day clock is the UBO report (VwbPG Art. 4(5)), suspended where limited register access prevents it.
What happens if I do not file a change?
The Office of Justice calls on the persons obliged to make the change within 14 days, under threat of an administrative fine or, in serious cases, an immediate fine (PGR Art. 968(1)). If neither a filing nor an objection follows, it enters the change itself and fines the defaulting party (Art. 967(4) with Art. 968(2)).
Which changes to a Liechtenstein company need a public deed?
AG and GmbH statute amendments need a public deed (PGR Art. 177(1), (6)), so a change of name, purpose or a seat in the articles does, as do each new GmbH contribution (Art. 420(1)) and a GmbH share transfer (Art. 403(4)). An Anstalt may use a certified declaration of all participants. Board, signatory, address and Repräsentant changes are plain filings.
What are the statutory register fees for changes?
GbHr-GebV Annex 2, version of 1 August 2024: basic fee CHF 700; a capital change 50 % of it; another statute amendment 40 %, or 20 % if minor; CHF 40 for a board member or signature; CHF 30 for a Repräsentant; CHF 100 for a seat move; CHF 600 to move abroad. Our fee: pricing on request.
Can I change the company name or purpose, and what does it cost at the register?
Yes, by statute amendment: a public deed for an AG or GmbH, a certified declaration of all participants possible for an Anstalt (PGR Art. 177(1), (6)). The register charges CHF 100 for the name entry and CHF 100 for the purpose entry; the statute-amendment fee may be added, and whether both are charged is open.
How do I move the registered seat or address of a Liechtenstein company?
With the seat unchanged, a registered signatory can file a change of business address (HRV Art. 33(1)). A seat move within Liechtenstein is a register filing (PGR Art. 113(4)); where the seat is in the articles, a statute change follows (Art. 177(1)). The register charges CHF 100 for a seat move and CHF 30 for a Repräsentant.
Can a Liechtenstein company move its seat abroad?
Not without a permit. Moving the seat abroad without dissolution needs a permit of the Office of Justice (PGR Art. 234(1)), and the register fee is CHF 600. The foreign and the domestic procedure both apply, handled by the licensed trustee or a lawyer. We promise no outcome or timeline; mergers and conversions are separate engagements.
How is the share capital increased or reduced?
A GmbH increase needs a public deed accepting each new contribution (PGR Art. 420(1)); an AG filing adds certified articles and a bank deposit confirmation (HRV Art. 58). An AG reduction needs an articles provision and a two-thirds resolution (PGR Art. 355(1)); payments follow the creditor period (Art. 355(5)); the filing needs a special audit report (HRV Art. 67).
Do I need a new qualified board member or Repräsentant when the old one leaves?
Yes, the role must be filled. At least one board member must hold a Trustee Act licence or an equal one (PGR Art. 180a(1), (2)), and the Repräsentant must be an EEA national permanently resident in Liechtenstein, or a domestic legal person appointing one (Art. 239(1), (2)), unless the Government consents otherwise (Art. 239(4)). A departing person can file their own removal (HRV Art. 33(3)).
Does a change of directors affect the UBO register, and are its deadlines currently running?
The UBO register is separate from the commercial register. The entity reports a change of UBO data within 30 days of becoming aware of it (VwbPG Art. 4(5)). Since the cyberattack of 30 July 2026, deadlines that cannot be met because of limited access remain suspended, with no end date. The trustee checks whether your change alters UBO data.
When does a change become effective against third parties?
The diary moment fixes the time of entry. Against third parties it takes effect on the next working day after publication, where prescribed (PGR Art. 947(2)). For an AG or GmbH, a third party who neither knew nor had to know of a fact is protected for acts within fifteen days (Art. 949(1a) no. 1).
Do the documents for the register have to be in German?
The register entry is made in German (HRV Art. 4(1)). Supporting documents may be in another language (Art. 4(2)), and the Office of Justice may require a certified translation where third-party inspection would suffer. A foreign deed is accepted from a competent officer; outside the EEA it needs an apostille or legalisation (Art. 37(2), (3)).
