Liechtenstein AG Formation, Step by Step

We prepare and coordinate the file. A licensed Liechtenstein trustee, named in your engagement letter, performs the reserved acts; the persons the law names sign.

  • At least two founders
  • Share capital from CHF 50,000
  • Reserved acts by a licensed trustee

What's included

For founders, families and advisers who want a Liechtenstein AG prepared, we set out what a foreign founder signs before a Liechtenstein company is entered in the register and keep the file in order. Forming a company for third parties is a trustee activity under the TrHG Art. 2, so a licensed trustee carries the reserved acts.

Identification pack

We collect passports, proof of address and source-of-funds details and check them for completeness. The licensed trustee performs the identification.

Name and draft articles

We prepare the firm name choice and the draft articles of association. The licensed trustee or lawyer finalises them.

The mandates

We coordinate the qualified board member under Art. 180a, the Repräsentant and the audit body. A licensed trustee takes the board and Repräsentant mandates.

Capital and public deed

We prepare the file for the capital-deposit account and the appointment with the notary. The bank confirms the capital; the notary draws up the deed.

Register application

We assemble the deed, the articles, the bank confirmation and the declarations for the persons the act names to sign and submit.

After the entry

We coordinate the UBO report, the accounts, the ordinary general meeting and the VAT notice with the licensed trustee and the auditor.

AG, GmbH or Anstalt: what differs

Four differences, taken from the statutes. You choose the form with the licensed partner.

Capital

An AG needs at least CHF 50,000, paid in or contributed in full (PGR Art. 122); a GmbH needs CHF 10,000. See our GmbH formation service.

Founders and shares

At least two founders (Art. 281(2)). Registered shares pass by blank endorsement unless the articles say otherwise; bearer shares only when deposited with a custodian.

Board and audit

From CHF 1 million of share capital the board needs at least three members, with an exception for a company with only its seat or only asset management here. The supreme body must always elect an audit body (Art. 350(1)), and the deed records its appointment (HRV Art. 57(1)(g)). Only a micro-company running a commercial business may waive the review, and never an AG with bearer shares (Art. 1058a).

Other routes

The establishment, the entity form that exists only in Liechtenstein, has its own page. Need a company that already exists? Ask about the shelf companies LFT keeps available.

How AG formation works

No statute sets this order, and no duration is fixed for the whole process.

  1. Intake and identification

You send the identification pack. The trustee identifies you and says which foreign documents need an apostille or a translation. Who: client, licensed trustee.

  2. Name and draft articles

We prepare the firm name and the draft articles; the licensed trustee or lawyer finalises them. Who: LFT, licensed trustee.

  3. Mandates before the deed

The qualified board member a licensed trustee provides, the Repräsentant and the audit body are agreed first; the deed records all three. Only a micro-company running a commercial business may waive the review instead, and never an AG with bearer shares (PGR Art. 1058a); the licensed trustee confirms which route applies. Who: licensed trustee, LFT coordinates.

  4. Capital-deposit account

The minimum capital of CHF 50,000 is paid in, with at least 25% paid on every share. The bank confirms the payment and decides on the account. Who: founders, bank.

  5. Public deed

At least two founders sign the deed of formation, drawn up by a notary. A deed made abroad by a public officer competent at the place of execution may be accepted (HRV Art. 37(2)), with proof of competence on request. An ordinance in force from 1 March 2026 regulates an electronic notarisation and certification system; whether it can be used for company deeds is not confirmed. Who: founders, notary.

  6. Register application

The board members entitled to sign apply with certified signatures, filing the deed, articles, bank confirmation and declarations (HRV Art. 56). The Office of Justice checks and enters the AG. Who: board members or notary.

  7. After entry

The extract is in German. The UBO report is due within 30 days (VwbPG Art. 4), accounts and the general meeting within six months after the end of each financial year (PGR Art. 1048(2), 339(1)), the VAT notice within 30 days of liability (MWSTG Art. 53). Who: licensed trustee, auditor.

UBO register status: access has been limited since the cyberattack of 30 July 2026, with identification in person in Vaduz from 5 October 2026. Deadlines that cannot be met stay suspended, with no administrative-penal liability, per the Office of Justice newsletter. Confirm the current position with the trustee.

Problems we solve

Five problems founders raise, and who solves each one.

An alpine village nestled among green hills and towering mountains
Founders abroad may be able to sign without travelling: a deed made abroad by a competent officer may be accepted.

The bank account

The register file needs the bank's confirmation of the capital. We prepare the pack; the bank decides on the account, and we promise no outcome.

The qualified board member

Art. 180a(1) asks for one board member with a Trustee Act permit or an equal route. A licensed trustee takes that mandate.

English papers, German register

Entries and extracts are in German. Supporting documents may stay in another language; a certified translation is needed only if the Office of Justice asks.

Travel to Vaduz

A deed made abroad by a competent public officer may be accepted, with proof on request. An ordinance in force from 1 March 2026 regulates an electronic notarisation system; whether it can be used for company deeds is not confirmed. For an electronic application, presence may be required in an individual case.

A regulated business

Forming the AG is separate from any licence. If the business needs one, see the FMA approval a regulated business needs in Liechtenstein.

Want the founders, mandates and fees checked for your case?

We map three things for the licensed trustee: your founders, the mandates the trustee takes, and the official fees for your capital.

Why work with us

Dominik Heeb, our corporate files lead in Vaduz, keeps your AG file on one desk. We prepare and coordinate; a licensed Liechtenstein trustee, named in your engagement letter, performs the reserved acts. Every rule in the tables on this page names its article and links to the statute or the Office of Justice.

Frequently asked questions

Do I need a qualified board member?

Usually, yes. At least one board member who manages and represents the AG must meet Art. 180a(1): an EEA national, a person treated as equal under a treaty, or a legal person, holding a Trustee Act permit or an equal authorisation. A licensed Liechtenstein trustee, named in your engagement letter, takes that mandate; LFT coordinates it.

What does the qualified board member do, and what happens on resignation?

The qualified board member holds a real mandate, not a name on paper. The Art. 180a condition must keep holding: if it stops being met, the authority dissolves the company ex officio (Art. 971). Any replacement is therefore arranged with the licensed trustee before the mandate ends. This page promises no availability.

Will a Liechtenstein bank open an account for a new foreign-owned AG?

That is the bank's decision, and LFT promises no outcome. The register file needs the bank's confirmation of the paid-in capital, so the capital-deposit account comes before the entry. LFT prepares the identification pack and coordinates with the bank; the licensed trustee performs the identification. No deposit size or timing is stated here.

Do I have to travel to Vaduz?

Not necessarily; confirm the route with the trustee. A deed drawn up abroad by a public officer competent at the place of execution may be accepted, with proof of that competence on request. Outside the EEA it is filed with an apostille or legalisation, subject to treaties. For an electronic application, presence may be required in an individual case.

Why is the minimum capital CHF 50,000, and how much must be paid in?

Art. 122(1) sets the minimum at CHF 50,000 for an AG; a GmbH needs CHF 10,000. Art. 122(2) says the minimum capital must be paid in or contributed in full, and Art. 290(1) no. 2 asks for at least 25 % paid on every share at formation. The licensed trustee confirms how the rules apply to your file.

Why at least two founders?

Simultaneous formation needs at least two founders (Art. 281(2)). All founders declare the formation in a public deed that they sign (Art. 288(1)), and the deed takes the place of the constituent general meeting (Art. 288(2)). A notary draws up the deed; the founders sign it.

Does the board have to be chosen before the deed?

Yes. The deed records the appointment of the board members, the audit body and the Repräsentant, and the application must show board and audit body filled. Only a micro-company running a commercial business may waive the review, never an AG with bearer shares (Art. 1058a). The licensed trustee provides the board and Repräsentant mandates, agreed before the deed.

Who signs and submits the application?

The application is signed by the board members entitled to sign and carries the complete deed (Art. 290(1)); the act also lets the Repräsentant and notaries apply (Art. 118(2)). Signatures must be certified. LFT prepares and checks the file and is not an applicant; the licensed trustee or the notary acts.

Can my documents be in English?

Partly. Register entries and extracts are in German. Supporting documents may be filed in another language, and the Office of Justice can ask for a certified translation where inspection by third parties would suffer. This page says nothing about the language of the notary's deed; the trustee confirms it for your file.

What are the official register and notary fees?

The official amounts, version of 1 August 2024: a basic fee of CHF 700; 0.2 per mille of the excess above CHF 200,000; CHF 30 per registered signatory and CHF 20 per function; CHF 600 for an advance certificate; and a scaled notarial fee capped at CHF 15,000. These are official fees, not LFT prices, and no total is quoted.

How long does the entry take, and when does the AG exist as a legal entity?

The law fixes no number of days; the Office of Justice aims to process entries promptly, which is a stated aim, not a promise. Under the general rule of Art. 106(1), a corporate body obtains legal personality by entry in the commercial register. No duration is published for the whole process.

Are bearer shares still possible?

Yes, but only deposited with a custodian (Art. 326a(1)). Registered shares pass by blank endorsement unless the articles say otherwise (Art. 327(1)). Which form suits you is for you and your advisers to decide; this page gives no verdict on it.

What are the yearly obligations after formation?

Accounts and the ordinary general meeting are due within six months of each financial year's end; an audit body is elected. The UBO report is due within 30 days of entry; register access has been limited since 30 July 2026, and deadlines that cannot be met stay suspended. Corporate income tax is 12.5 %. Confirm the position with the trustee.

How do the AG and the GmbH differ in capital and board rules?

An AG needs at least CHF 50,000 of capital and a GmbH CHF 10,000 (Art. 122(1)). For an AG with share capital of at least CHF 1 million the board needs at least three members, with exceptions in the same article (Art. 344(2)). The GmbH board rules are on the GmbH page; this page gives no verdict.
