What a ready-made company is in Liechtenstein

The PGR and the Commercial Register Ordinance we read set no separate shelf-company category: we found no such rule. Buying a ready-made company means taking over the ownership of an entity already entered in the register, by the instrument its legal form uses.

For a GmbH that is a share assignment, for an AG the share certificates, for an Anstalt the founder's rights. The company keeps its history, its name and its entry. What changes is who owns it, and often who sits on the board and where the seat is.

Ready-made company or new formation

Both routes end with a Liechtenstein company under your control; they differ in history and in the steps left to do. See how LFT coordinates the formation of a company in Liechtenstein, and compare the two below.

What is included in the transfer

  • The company, entered in the Liechtenstein commercial register
  • Its name, register number and date of entry
  • The articles in their current version
  • The share register or founder's rights record
  • The filed annual accounts and, where the seller provides them, the minutes and corporate records
  • A file prepared for the changes the buyer wants
  • Coordination with the licensed trustee who files
  • Not included: LFT does not promise a bank account, licence, permit or tax outcome. The company keeps its own tax history; a bank decides on any account after its own checks. Read which banks in Liechtenstein serve foundations, trusts and family offices.

How buying a ready-made company works

Five steps to take over a ready-made company

  1. Choose a company from the list

    Who acts: You

  2. Identification of the buyer

Who acts: You, LFT collects the documents

  3. Transfer signed by buyer and seller

GmbH: public deed, share register entry. AG: endorsed share certificate. Anstalt: founder's rights assigned.

    Who acts: Buyer and seller

  4. Changes filed with the commercial register

    Who acts: Licensed trustee

  5. Beneficial-owner update

Who acts: Licensed trustee, then the register

From the list to the updated registers in five steps.
  1. Choose and request

Pick a reference from the list and send the request form. We confirm whether the company is still available and send its register extract and articles.

  2. Identification

You provide identity and ownership documents. The licensed trustee identifies you by documents, as the Due Diligence Act requires (SPG Art. 6(1)). Company buyers add their ownership chain.

  3. Transfer

Buyer and seller sign the transfer for the legal form. A GmbH share assignment takes a public deed and an entry in the share register (PGR Art. 403(1) and (4)).

  4. Register filings

Board, seat or articles changes are filed without delay (PGR Art. 965(1)); a written filing carries certified signatures (HRV Art. 31(2)).

  5. Beneficial owner

The change of beneficial owner is notified within 30 days of knowledge (VwbPG Art. 4(5)), subject to the current suspension described in the FAQ. We confirm when the filings have been made.

Who does what in a transfer

Transfer of a ready-made company

  • Buyer and seller

    sign the transfer

  • LFF Heritage Trusts

    prepares and coordinates the file

  • Licensed Liechtenstein trustee

    files the changes

  • Office of Justice

Each party's part in the transfer.

Trustee Act, Art. 2(a) and 80(1)

Forming companies for third parties, with the related dealings with courts and authorities, is a trustee activity. Acting without the licence is punishable by up to one year or 360 daily rates (TrHG).

PGR Art. 403, 327 and 541

A GmbH share passes by public deed and share-register entry; AG registered shares by the endorsed certificate; Anstalt founder's rights can be assigned, never pledged (PGR).

Due Diligence Act, Art. 3(1)(k) and 6(1)

Providing a seat or address is a regulated activity, and the buyer is identified by documents before the work starts.

VwbPG Art. 4(5) and 31(2)

The beneficial-owner change is notified within 30 days of knowledge, subject to the suspension since 30 July 2026, with no end date announced. A breach can be fined up to CHF 200,000, but the Office of Justice says missing a suspended deadline brings no administrative-penal liability (VwbP register).

Lawyers Act, Art. 8(1)(a)

Legal advice on the transfer belongs to a Liechtenstein lawyer. LFF Heritage Trusts prepares and coordinates and gives no legal advice.

Questions about ready-made companies

Could a ready-made company carry hidden debts?

It can carry what its history holds, so its records are reviewed before the sale, by you and the licensed trustee. For a GmbH, the law makes seller and acquirer jointly liable for contributions still due unless the articles say otherwise (PGR Art. 403(6)). Ask for the filed accounts and the share register before you sign.

Is a ready-made company faster than a new formation?

We do not promise it. No processing time is published for either route, so we give no day count. A ready-made company is already entered, but the transfer, identification and register filings still have to be done. We tell you what remains for the company you choose.

Does a bank account come with the company?

We do not promise one. A Liechtenstein bank decides on its own client acceptance, and opens an account only after its own checks. We prepare the documents a bank usually asks for once the transfer is done. Read Bank Accounts for Liechtenstein Structures.

Does LFT act as lawyer or trustee in the sale?

No. LFF Heritage Trusts prepares and coordinates the file. A licensed Liechtenstein trustee, named in your engagement letter, files the changes (TrHG Art. 2(a): formation and the related dealings with authorities). Legal advice on the transfer belongs to a Liechtenstein lawyer (RAG Art. 8(1)(a)). You know who acts before you sign.

What does a ready-made company cost?

The price of each company is shown in its row of the list, in Swiss francs. Our coordination work and the trustee's fees are quoted on request, once we know the changes you want after the sale. Ask for a quote with the reference of the company you like.

Can I check the company before I buy it?

Yes. Before you sign we share its register extract, articles, share register or founder's rights record and, where the seller provides them, its filed accounts and corporate records. You can have them read by your own adviser. If anything is unclear, we answer in writing before the transfer starts.

Is a public deed always needed?

Not for every form. A GmbH share assignment needs a public deed (PGR Art. 403(4)). AG registered shares pass by handing over the endorsed certificate (PGR Art. 327(2)). Anstalt founder's rights can be assigned (PGR Art. 541). Written register filings carry certified signatures (HRV Art. 31(2)).

What must I still do after buying?

The board, seat and articles changes you want are filed with the commercial register without delay (PGR Art. 965(1)). The change of beneficial owner is notified within 30 days of knowledge (VwbPG Art. 4(5)), subject to the current suspension. Licences, permits, tax registration and the bank account are separate steps.

Is the 30-day beneficial-owner deadline running?

The deadline is 30 days (VwbPG Art. 4(5)). Since the cyberattack of 30 July 2026, deadlines that cannot be met because of the limited availability of the register, or because the limited access procedure is not used, remain suspended, with no end date announced. We check the current status before your filing.

Can the board, address and articles change after the sale?

Yes. Buyers usually change the name, seat, object or board. New board members and a new seat are filed with the register without delay. See amending the articles of a Liechtenstein company and the domicile a licensed trustee provides for a company or foundation.

What does a foreign buyer need to provide?

Identity documents for every buyer and beneficial owner, the residential address of an individual buyer (SPV Art. 6(1)(a)), and the ownership chain for a company buyer. The licensed trustee identifies you by documents before the work starts (SPG Art. 6(1)). Signatures on written register filings are certified (HRV Art. 31(2)).

Is there a rule against buying a company formed for resale?

We found no such rule in the texts we read, and no separate shelf-company category. The transfer follows the ordinary rules of the legal form: PGR Art. 403 for a GmbH, Art. 327 for AG shares, Art. 541 for Anstalt founder's rights. Ask us about the company you choose.

Is a shelf company the same as a ready-made company?

Yes. Both names describe an existing company sold to a new owner. The law we read uses neither term: the transfer is an ordinary change of ownership under the rules of the company's legal form. On this page we use "ready-made company" and "shelf company" for the same thing.
